The people behind every WIN offer.

Owners speak directly with the team that evaluates and approves the transaction: a practicing CPA on the licensed side, the fund partner who commits the capital, and the operator who runs the practice after closing. Two or three of us usually join the first call.

Denis Shulga, CPA, EA

Certified Public Accountant (Michigan)Enrolled AgentPrincipal, VistaTax

Denis is a practicing tax and accounting professional and the principal of VistaTax, a California practice serving individuals and closely held businesses. His own work is the work the practices we acquire are built on: individual and business tax preparation, tax planning, bookkeeping, financial reporting, and payroll.

As WIN’s founding CPA, Denis anchors the licensed side of the structure. Every firm we acquire operates under CPA ownership and full professional control, and a practicing CPA sits at the table for every transition.

He writes the WIN blog: how to sell a CPA practice in 2026 and how the sale of an accounting practice is taxed.

Oleg Bibergan

Oleg Bibergan

Co-founder and managing partner, s16vcFormerly Executive Director, Goldman Sachs

Oleg is a co-founder and managing partner of s16vc, the fund behind WIN. s16vc is a founders-for-founders venture fund, founded and backed by technology founders and operators. Before s16vc he was an executive director at Goldman Sachs.

s16vc has backed operating companies that buy established service firms and put a platform under the routine work, among them Dwelly in UK lettings and Zinco in Spanish accounting.

Oleg represents s16vc on WIN’s side of the table. The equity is committed before an offer goes out, proof of funds is available to your broker at the letter of intent, and a WIN offer carries no financing contingency and no bank approval between the handshake and the closing.

Operations
Slava Akulov

Slava Akulov

OperationsCEO, Jupid, technology partner

Slava will lead operations at the practices WIN acquires. He is the co-founder and CEO of Jupid, WIN’s technology partner, an AI accounting software company. Before Jupid he was a co-founder and COO of Anna Money, a business account and accounting service for small companies in the United Kingdom.

After closing he runs the operating side of the transition. Document intake, data entry, reconciliation and routine preparation move onto the platform under CPA review, the staff stay and move up to planning and advisory work, and the client keeps dealing with the people they know.

02 · How the three sides fit

The CPA-owned firm

Licensed CPAs hold majority equity and voting control. A practicing CPA becomes the owner-operator of your book, signs and reviews all regulated work, and leads client relationships day to day.

The capital

Equity committed by s16vc and its founder network before an offer is made. No SBA loan, no bank retrade, no financing contingency, and one committee for fast answers.

Oleg Bibergan, s16vc

The platform

WIN’s management-services organization carries technology, workflow, billing, admin, intake, recruiting and marketing, so the CPAs can focus on client work.
